Corporate Counsel II Duties: Review, prepare and negotiate information and technology services contracts, software licenses, and other outsourcing and information services agreements for services and products provided to financial institutions and other business entities. Perform legal research and analysis on commercial contract and information technology law issues, as well as software licensing, payment processing and payment services, including data security and privacy, technology development, and commercial services. Advise business colleagues on legal issues relating to commercial contracts, product development and compliance, and relating to various company products and services. Counsel business colleagues in connection with client relationships, including commercial contract dispute matters.

Qualifications: Must have a college degree and a Juris Doctor from an accredited US law school and be licensed to practice law in at least one US jurisdiction. Should have 5+ years in the practice of law in a high-quality law firm or in-house environment, and be a seasoned, experienced legal professional with a full understanding of corporate and commercial contract issues. Experience or expertise in the payments services or data processing industry, or in working closely with financial institutions on their technology matters is preferred. Must possess considerable knowledge of and experience with the principles involved in drafting information and technology services agreements, software license agreements, and general commercial contracts. Must have strong analytical and advisory skills, including the ability to review and evaluate multi-faceted issues and counsel business colleagues on complex legal questions relating to various business matters, such as product development and compliance. You must possess the ability to use creative problem-solving skills to resolve issues in a pragmatic and sound manner. Must have strong communication skills, including the ability to communicate effectively, both orally and in writing, with senior management, outside legal counsel, and internal and external clients. This includes strong writing skills and the ability to draft contracts, dispute resolution documentation and other legal communications. Must have strong negotiation and deal-making skills, including the ability to balance the company's goals and the client's needs, as well as the ability to deal with multiple parties with competing interests. Must possess the ability to establish and maintain effective working relationships with customers, colleagues and opposing counsel, and be able to work collaboratively with other team members, both within the Legal Dept and in other groups. Must also be able to mentor others in their professional legal development. The ability to manage multiple projects simultaneously, including the lead role in a wide variety of matters with both legal and non-legal professionals.
