Corporate Attorney - Infrastructure The candidate report to the Deputy General Counsel, Infrastructure. Consult with management, commercial advisors, tax experts, accountants and marketing staff. Analyze complicated legal documents; revise those documents. Help with compliance and corporate governance issues. Draft and negotiate company contracts, requests for proposals and other legal documents. Keep informed of industry-specific regulations and ensuring that appropriate risk management strategies are in place. Support development of policies on industry-specific issues, corporate governance or regulatory affairs. Research the law on complex issues and writing a brief for submission to a supervising attorney or executive of the organization. Meet with company management to provide recommendations on compliance matters and current legal issues within the company. Manage outside counsel and litigation to ensure effectiveness and agreement of outside counsel with goals. Advise on employment matters and provide guidance for compliance. Negotiate with outside parties on contractual issues and legal disputes, including settlement conferences. Anticipate and reduce potential legal problems within the organization and developing strategies to avoid costly litigation and reduce potential areas of risk. Support development and communication of policies and procedures for our standard of legal and ethical conduct. Coordinate with other members of the legal department to provide reports to keep the board and senior management informed of the progress and status of the compliance program, and advising them of new developments in ethics and regulatory compliance. Coordinate with the human resources department to develop a compliance training program, including appropriate introductory training for new employees and ongoing training for existing staff. Should have Juris Doctor (J.D) and State Bar License. Should have 3+ years of experience in a law firm or corporate legal department.
