Senior Corporate Counsel

Senior Corporate Counsel Duties: Draft, negotiate and finalize revenue contracts, with an emphasis on limits of liability, indemnification, confidentiality, intellectual property rights, warranty and representation, and service level agreements. Draft, review, negotiate and finalize privacy and security-related documentation, with an emphasis on data protection agreements, information security addenda and related data privacy/information security risk allocation clauses. Support compliance with internal policies/procedures as well as external compliance issues, including, SOC2 report, ISO Certifications, GDPR preparation and other compliance related legal issues. Draft, negotiate and finalize vendor contracts. Work with sales team and business leaders to respond to inquiries on contractual terms (payments, renewals, amendments, etc.). Communicate effectively with business leaders on contracts, data privacy and other legal related matters. Contribute to other legal-related business projects as assigned by General Counsel. Maintain updates within the contract database. Work with IT team on data purge, legal holds, and other issues related to data retention. Serve as a subject matter expert on privacy law, trends, and laws pertaining to information security. Collaborate with General Counsel, the Company's Data Privacy Officer and Information Security team to ensure alignment between security and privacy programs, including policies, practices and investigations for security and privacy risks. Qualifications: Juris Doctorate degree from an accredited law school. CIPP Certification is preferred. 8+ years of prior experience working with corporate contracts and general corporate matters, including 2+ years of experience in privacy-related matters. Experience in a SaaS environment is preferred. Knowledge of applicable International, Federal and State information security and privacy laws, including GDPR, California Consumer Privacy Act (CCPA), and FTC/FCC Regulations. Excellent organizational and analytical skills. Strong ability to multi-task, exercise good judgement, and be meticulous in attention to detail. Ability to thrive in a fast-paced environment. Experience with Salesforce CRM. Exceptional communication skills including both verbal and written. Strong attention to detail. Ability to work collaboratively and cooperatively with multiple priorities and multiple cross functional teams.
