Corporate and Compliance Counsel The candidate will review, prepare, negotiate, interpret, and draft agreements on a variety of business and transactional matters, including but not limited to procurement, consulting, sales, patent and know-how licenses, research and development, business development, clinical affairs, material transfers and confidentiality. Advise senior management on various legal and compliance issues and risks, areas of exposure, and strategies to overcome the various legal and compliance issues, risks and areas of exposure. Manage and track the Company's contractual agreements. Develop and train management on a variety of legal and compliance matters. Identify, analyze and guard against legal risks and areas of exposure facing the Company. Manage the organization's compliance program in accordance with most recent DOJ guidance: perform a periodic risk assessment to identify business risks related to the business strategy and the compliance framework, develop policies and procedures to mitigate risks and support commercial excellence, and develop a tailored training plan and monitoring tools to measure its efficacy; manage the organization monitoring program. Develop a third-party management program in accordance with the Corporate Compliance Department. Manage HCP interactions program and contracting; interface with various corporate functions to support product development and HCP training. Coordinate a compliance ambassadors program. Provide reporting to the Corporate Compliance Department and annual compliance action plans. Conduct and coordinate research into a variety of legal and compliance issues. Stay current on developments in applicable, laws, regulations, and industry codes of ethics and practices. Represent the Company or its officials in various legal proceedings. Coordinate and manage the work of outside legal counsel. Interact with Company, affiliates of Company, and outside companies on relevant legal and compliance matters. Provide supervision and guidance to paraprofessional(s) in the Legal Department. In all actions, demonstrate a primary commitment to patient safety and product quality by maintaining compliance the Quality Policy and all other documented quality processes and procedures. Perform other duties as assigned.

The candidate should have a J.D. Degree from an accredited law school. Must be a member in good standing of all State Bars were licensed to practice law; Admission to New Jersey, Maryland, or Michigan state bar preferred. Should have 5 years of commercial, compliance, and corporate transactional experience with a law firm or in-house legal department. Experience in highly regulated industry required; Medical device or life sciences experience preferred. Intermediate computer software skills, i.e. Microsoft Office. Excellent written and verbal communication skills. Excellent organizational skills and ability to work under pressure in a fast-paced, dynamic corporate environment. Knowledge of relevant commercial and compliance laws and regulations. Ability to develop strong relationships throughout area of responsibility to foster an advisory and collaborative approach to proactive compliance in partnership with the business to enhance cross-departmental collaborations to develop policies, procedures, guidance, and toolkits, that address business needs as they evolve. Ability to manage and support the implementation of an annual compliance plan and for ensuring that the relevant tasks and initiatives are adopted throughout the organization in North America (U.S. and Canada) while maintaining and applying a working knowledge of current and emerging healthcare compliance-related laws and regulations.
