Senior Contracts Counsel The candidate will review, draft and negotiate a variety of commercial Agreements including confidentiality agreements, consulting agreements, marketing partner agreements and insertion orders, service agreements, and SAAS Agreements. Will provide support regarding a broad range of third-party vendor and customer contracts. Help to implement and manage contract management/legal matter management systems. Assist with due diligence projects for transactional/M&A events. Draft and maintain knowledge resources, develop marketing best practices, and conduct related compliance trainings.
The candidate should have a JD degree plus admission to at least one State Bar (preferably Texas or New York). Must have 5+ years of relevant work experience. Experience with laws and rules governing technology including disclosure and consent requirements for subscription and automatic renewal programs is required. Experience in advertising and marketing law is a plus. Experience reviewing, drafting, and negotiating a broad range of contracts. M&A experience is preferred. Significant project management experience is needed. Must have a working knowledge of Microsoft Word, PowerPoint, Adobe Acrobat, Outlook, and Excel.
