Director & Senior Counsel: Compliance, Litigation & Employment The candidate will receives, reviews and assesses all ethics and compliance reports (hotline and otherwise) and makes recommendations to Hotline Board regarding investigations. Maintains Gates' Ethicspoint reporting system, ensures timely and complete investigations and resolutions of reports. Trains investigators on Ethicspoint and investigation techniques, and provides guidance to investigators during course of investigation. Conducts complex investigations personally, as assigned, and presents investigative findings and corrective actions to executive leadership. Prepares quarterly Audit Committee Hotline and Litigation reports and leads quarterly Hotline review with executive team. Remains current on issuances from OFAC, BIS and numerous other US and global regulatory agencies regarding Sanctions and Export Controls, and evaluates application to Gates' global business. Provides regulatory guidance to commercial, operations, marketing and procurement groups on Sanctions and Export Controls issues. Prepares and presents training to business groups related to Sanctions and Export Controls compliance, regulatory requirements and changes, and global transactions. Provides day-to-day leadership and guidance in the management of Gates' Denied Party Screening program, ensuring compliance with internal procedures. Prepares and presents global trainings (including the annual Leadership Conference) on myriad compliance topics. Designs annual suite of on-line compliance trainings for Gates' global teams. Chairs Gates Global Policy Committee, maintains all Gates' compliance-related global and regional policies, daily fields policy questions from Gates' executive leadership and functional teams. Stands as the primary point of contact for Gates' external auditors related to the creation and maintenance of controls necessary to the compliance function. Reviews the Hotline report with Gates' external auditors and provides supporting information, as requested by the auditors, on a quarterly basis. Manages material product liability, personal injury, contract, asbestos and employment/labor claims and disputes worldwide. Implements Legal Holds through Clearwell system and otherwise; works seamlessly with IT security team related to same. Prepares written responses to regulatory agency inquiries and investigations, including position statements (EEOC, DOL, OSHA, etc.). Responds to all third party subpoenas and requests for information. Provides daily counsel to Human Resources and Management on diverse global labor and employment matters. Drafts, reviews and revises employment-related documents, including numerous policies, offer letters, employment agreements, disciplinary documentation, separation agreements, and severance plans; manages translation of same as required. Provides daily legal counsel concerning regulatory risk as it arises in general corporate matters. Provides compliance (sanctions, export controls and policy) support to Contracts Team. Supports M&A team on transactional documentation and due diligence. Juris Doctor or L.L.M. Degree and member (in good standing) of at least one state Bar, preferably Colorado. Bachelor's degree in a science discipline; Master's is a plus. Must have 8+ years of legal experience. Ability to quickly develop in-depth knowledge of Gates" products, programs, operations, policies and strategies. Strong analytical skills and legal creativity, and significant experience in analyzing and providing practical, effective solutions to significant, complex transactions and issues. Ability to coordinate and lead work groups and project teams. Strong interpersonal skills, with proven ability to effectively communicate with C-Suite and executive leadership clients. Ability to prioritize work and to work in situations with multiple, simultaneous demands. Ability to maximize results using limited resources. Excited to work in the office with great teammates. Must be legally authorized to work in the United States without company sponsorship.
