Corporate Counsel The candidate will be providing legal support and advice with respect to the preparation and filing of current and periodic reports on Forms 8-K,10-K, and 10-Q. Preparation and filing of annual proxy statement, including preparation of the CD&A disclosure and handling of shareholder proposals, and for providing legal support in connection with annual meeting of shareholders. Providing legal support and advice to investor relations department on disclosure matters, including review of annual and quarterly earnings announcements, press releases, investor presentations, investor communications and other materials. Providing legal support and advice to communications, public relations, and human resources departments on internal and external announcements, press releases, presentations, communications and other materials. Preparation and filing of Section 16 reports and the management of securities trading policy and procedures; providing legal support and advice in connection with ESG Program, including review of the Company's annual ESG report. Providing legal support and advice in connection with public securities offerings, borrowing facilities, and other financing transactions and activities. Supporting the Associate General Counsel and General Counsel on corporate governance and Board matters, including assistance with preparation of materials, coordination of agendas, drafting of minutes and monitoring and ensuring compliance with Board and Committee responsibilities. Supporting the Associate General Counsel with regard to legal entity management and governance. Directing and overseeing the work of outside securities and governance counsel. Collaborating with business partners to devise appropriate legal strategies associated with securities reporting and governance activities. Supporting the Associate General Counsel on M&A, Real Estate, Finance, and/or Tax related matters. Such other duties as may be directed by the Associate General Counsel and/or General Counsel. The candidate should have 5 years of experience providing advice to exchange-listed large corporate organizations regarding public securities matters. Experience providing advice on corporate governance matters and corporate transactions. Juris Doctor from an ABA-accredited law school. Pennsylvania Bar License, or ability to obtain Pennsylvania Limited In-House Corporate Counsel License. Excellent analytical and problem-solving skills, including the ability to make recommendations and exercise judgment. Exceptional verbal and written communication skills are necessary to communicate with all levels of management. Time management and organizational skills necessary to independently manage a significant number of matters, appropriately prioritize workload and plan for resources to meet deadlines and goals. Ability to maintain confidentiality and project a professional image at all times. Self-motivated with critical attention to detail and deadlines. Software skills, including use of Microsoft Office software and web-based applications. Ability to travel on a limited basis.
