Associate Counsel, Legal and Compliance The candidate will do general corporate transactional review and drafting, including but not limited to various business unit-related product and marketing agreements (lending, insurance, etc). Business counseling, with emphasis on legal compliance, risk forecasting and product development. Marketing and product team members will look to you as a key stakeholder to advise on strategy and implementation. Stay current on advertising/marketing requirements and best practices among industry leaders. Review and negotiate vendor and client agreements, across the organization, including those required to implement new product roll-outs. Counsel senior and sales management to ensure those teams legal and compliance needs are met. Review, analyze, revise and negotiation of co-brand, content licensing and merchant agreements. Management of certain intellectual property and policing of misuse of intellectual property. The candidate should have a strong academic background with a JD from an ABA-accredited law school. Admitted to California Bar. Should have 3 years of the law firm or corporate legal experience, preferably including legal advice to interactive companies. In-house legal experience is a plus. Excellent verbal and written communication skills. Outstanding analytical skills, extremely detail-oriented with strong organizational and prioritization skills. Experience with lead generation, financial industry and/or online marketing industry preferred. Ability to provide practical legal advice in a business environment. Excellent written and verbal communication skills. Ability to multi-task in a fast paced environment. Ability to work independently without constant supervision.
