Senior Corporate Counsel Responsibilities: Provide support and guidance on matters relating to corporate finance and securities, corporate compliance, and commercial transactions, including but not limited to equity and debt offerings, mergers, acquisitions, divestitures, and joint ventures. Advises concerning transactions of business involving internal affairs, stockholders, directors, officers, and corporate relations with the public. Advice on legal aspects of the Company's credit agreements and other financing arrangements, including assessing and advising on current and future business structures and legal entities. Prepare the Company's corporate and securities reports, including annual, quarterly and other current reports and filings, proxy statements, and work with the Finance Department on the Company's financial statements. Examines material, such as advertisements, publications, etc., for legal implications, advising officials of proposed legislation that might affect the organization. Applies for copyrights or registration of the organization's products, processes, devices, and trademarks, advising whether to initiate or defend lawsuits. Examines legal data to determine advisability of defending or prosecuting lawsuit. Support the Assistant General Counsel by handling corporate governance and disclosure matters, including drafting agendas for meetings of the Board and its committees, preparing Board presentations, drafting meeting minutes, and managing the Board portal. Provide counsel and advice on communications to shareholders and other investor relations matters, including presentations, press releases, and other disclosures. Draft and negotiate various commercial agreements, including coordinating with internal business partners to achieve the Company's objectives. Review, evaluate, and comment on other obligations of the Company, and advise the Assistant General Counsel of the degree of legal risk associated with operational activities. Remain current and knowledgeable, with respect to legislation, case law, and administrative rulings, as well as pending legislation and administrative regulations pertaining to operations of the company in the assigned area of responsibility; determine its potential impact on the Company. Responsible for supervising multiple projects.

Qualifications: Bachelor's Degree in Political Science or related field; or an equivalent combination of education and experience sufficient to successfully perform the key accountabilities of the job required. Juris Doctor required. Licensed and a member in good standing of a State Bar required. Licensed in Pennsylvania or able to obtain out-of-state attorney in-house status in Pennsylvania required. Should have 8+ years of progressive public/corporate securities attorney experience required. Must have 5+ years in a leadership role (direct or indirect). Solid understanding and application of mathematical concepts. Strong analytical, prioritizing, interpersonal, problem-solving, presentation, budgeting, project management (from conception to completion), & planning skills. Strong verbal and written communication skills (including analysis, interpretation, & reasoning). High degree of proficiency MS Office Suite, Outlook & Internet applications Ability to develop and maintain collaborative relationships with peers and colleagues across the organization, as well as, internal and external clients.
