Senior Corporate Counsel The candidate provides a high level of expert advice on complex legal matters in area of responsibility and/or leading a group that provides specialized expertise. Leads, directs, and manages direct reports and the scope of their responsibilities within the department. Creates practical and effective solutions to legal issues with no established precedent; develops creative solutions to unique legal problems. Assists clients in addressing situations of high legal exposure or risk; understands overall business risk tolerance and considers it in the context of risk management strategies and actions. Actively identifies and logically assesses potential legal risks in ambiguous, unique, and/or complex business situations. Creates valuable risk management recommendations leveraging sound risk assessment information to further achievement of business objectives. Drafts necessary legal documents and develops conclusions and recommendations. Delivers difficult messages or news or challenges the client when necessary; responds to client challenges to advice directly and effectively. Completes other projects as directed or assigned. The candidate should have 4-7 years of legal experience. Experience handling a wide range of capital market transactions (equity joint ventures, financing/borrowing arrangements including construction financing) and real estate matters (including drafting and negotiation of real estate purchase contracts). Substantial experience running transactions with minimal oversight and demonstrated ability to manage and develop attorneys as needed. Working knowledge of legal entities and corporate structure including formation and dissolution of LLCs and drafting and reviewing operating agreements. Ability to manage outside parties handling litigation and insurance claims. Extensive contract drafting, review and negotiation experience. Work requires the ability to align and embrace five Core Values: Performance, Communication, Leadership, Quality, Teamwork. Work requires strong analytical, problem-solving, decision-making, conflict resolution and advisory skills. Work requires the ability to be flexible, adaptable and responsive at all times. Work requires the ability to make recommendations to effectively resolve problems or issues, by using judgment that is consistent with standards, practices, policies, procedures, regulation or government law. Work requires strong technical writing, communication and interpersonal skills. Work requires ability to handle confidential or sensitive information properly. Some Travel will be required.
