Corporate Counsel - Commercial Contracts (Direct Hire/ Remote) The candidate will review, markup/draft (from forms and from scratch), negotiate and close commercial contracts, including master services agreements, statements of work, licenses, RFP responses and supporting documents across the business - a minimum of 5 years. Comprehension of clauses common to SaaS Agreements. Provide rapid, practical, business-oriented legal/commercial contract advice directly to Customers, vendors and internal customers. Project manage contracts markups/ negotiations. Support internal customers in negotiating price, deliverables, services scope, warranty and other commercial terms. Clear understanding of company risk tolerances and appropriate negotiation path (limitation of liability, change of control, assignment, change of control, Damages, etc ). Apply innovative problem-solving skills and practical business judgment to maximize companies positions. Collaborate with and facilitate cross-team decision-making among the internal customer team. Manage assigned projects to completion. Project manage any required outside attorney engagements. All other duties as assigned.

The candidate should have a J.D. degree from an accredited law school. Licensed to practice law in Missouri. Should have 5+ years of relevant experience. Excellent verbal and written communication skills. Experience in handling regulatory/ compliance matters, including PCI, FCRA and HIPAA is a plus. Services / Software Industry experience preferred. Analytical and research skills required. Business-oriented and experience negotiating commercial contracts and other experience demonstrating the ability to handle and close commercial and legal negotiations. Experience working in a fast-paced and fluid culture. Demonstrated success working in a high-performing, the business results-driven environment is a must. Ability to draft and close commercial agreements with minimal support from senior staff. Demonstrated ability to think and decide quickly, and to communicate legal issues and solutions clearly and concisely.
