Associate General Counsel, Corporate M&A Transactional Attorney The candidate will manage, direct, and conduct the legal negotiations relative to acquisitions, mergers, collaborations and affiliations and other complex transactions. Manage and direct the legal aspects of teams in preparation of letters of intent, responses to requests for proposal, term sheets and analysis of transaction opportunities. Draft full spectrum of transaction documents. Manage, direct, and conduct legal due diligence activities. Review and preparation of disclosure schedules. Assist with the development and implementation of integration plans. Advise business teams on compliance with Federal, State, and local laws, regulations, policies and procedures. Provide counsel and guidance on the creation and adherence to internal policies and procedures and corporate governance matters generally. Attend business meetings and provide corporate secretary functions for affiliates, including drafting meeting minutes, written consents, and development of meeting agendas.

The candidate should have 10 years of healthcare-related transactional legal practice experience. In-house or law firm healthcare transactions experience preferred. Graduation from an accredited law school with a Juris Doctor degree, with an unrestricted license to practice law in one or more jurisdictions in the United States. Must be eligible for admission to the Virginia State Bar. Strong project management skills, including the ability to prioritize, balance, and manage multiple tasks simultaneously. Ability to appreciate the importance of meeting deadlines. The ability to communicate complex matters concisely and effectively in oral and written form is required. A strong work ethic. Solid analytical skills and solution-driven thinking; exceptional problem-solving, organizational, and analytical skills and demonstrated attention to detail. Demonstrates the organization's core values, exuding behavior that is aligned with culture. Maintain confidentiality and exercise a high standard of judgment and discretion. Ability to balance legal expertise with practical business judgement.
