Assistant General Counsel - Corporate and M&A The candidate will provide first and second chair legal advice and support in the Americas, EMEA and APAC on mergers and acquisitions, investments, corporate restructurings, and divestments of existing business lines, new corporate venture activities and the negotiation and setting up of affiliates and joint ventures and providing coordination and support on global transactions. Assist with corporate and securities matters, including corporate governance (e.g., corporate filings, entity management, Board materials, minutes, resolutions, consents), SEC/NYSE public company filings, and other general transactional matters. Draft, negotiate and participate in the review of various transaction documents associated with M&A, strategic investments, and other transactional matters, with support from outside counsel as appropriate. Collaborate with the business and legal teams in structuring transactions; identifying risks and concerns while presenting potential alternatives and solutions to challenging deal matters and business issues. Oversee due diligence and work collaboratively with in-region and service line counsel and multiple cross-functional teams, including proactive partnerships to ensure subject matter experts are included as appropriate. Provide legal advice and support to internal stakeholders with respect to the legal policies and the legal implications of proposed transactions; maintain open communication and good working relationships with internal clients and affiliates and partners of the Company. Assist with the oversight and management of external counsel. Proactively set and execute legal strategies anticipating and addressing changes in laws, regulations and business environment to the advantage and benefit of the company. Strategic problem solver who can read situations quickly and step up to challenges, seeing them as opportunities. Comfortable with ambiguity and uncertainty and able to adapt nimbly and lead others through complex situations. Strong analytical and negotiation skills along with a high degree of initiative and self-direction to work independently and within a team. Ability to work in a fast-paced environment, handle multiple, conflicting priorities while managing a substantial workload and client expectations. Ability to present the unvarnished truth in an appropriate and helpful manner. Exceptional communication and organizational skills with a keen attention to detail and accuracy. Demonstrated customer/client focus.
