Corporate Counsel The candidate will be responsible for assisting with the management of legal functions associated with land acquisition, purchase, and sale agreements, real estate purchases, financial transactions, and loan closings. Provide guidance on complex legal matters as it relates to real estate operations. Draft, negotiate, and review purchase and sale agreements, leases, and other real estate purchase, sale, and development-related documents. Assist with drafting business entity formulation documents. Draft, review, and negotiate loan documents, review title surveys and commitments and perform other responsibilities associated with financing transactions and loan closings. Create practical and effective solutions to legal issues with no established precedent; develops creative solutions to unique legal problems. Assist clients in addressing situations of high legal exposure or risk; understands overall business risk tolerance and considers it in the context of risk management strategies and actions. Draft necessary legal documents and complete contract reviews to develop conclusions and recommendations. Provide legal research, analysis, and support for employment law matters. Provide litigation support. Complete other projects as directed or assigned.
The candidate should have 2-3 years of legal experience. Experience handling a wide range of capital market transactions (equity joint ventures, financing/borrowing arrangements) and real estate matters is a plus. Real estate contract review and drafting experience is a plus. Work requires the ability to align and embrace our five Core Values: Performance, Communication, Leadership, Quality, and Teamwork.
