Securities Capital Markets Counsel Duties: Working with internal business partners and external counsel to develop capital markets documentation that protects the bank's interests as initial purchaser, underwriter, or placement agent within the context of the bank's distribution strategies. Advising internal business partners in analyzing, negotiating, and resolving legal issues related to capital markets transactions and regulatory items. Taking all necessary steps to ensure a proper understanding of legal risks incurred by the covered business lines and providing appropriate solutions in order to control and reduce legal risks. Developing best practices and ensuring quality control for underwriting, origination, and syndication activities. Coordinating across support functions including Compliance, Credit and Finance to promote transparency and consistency in approach. Providing legal analysis on new products and activities, as necessary. Instructing and managing external counsel and legal fees.
Qualifications: JD or LLM degree. Must currently be admitted to the Bar of the State of New York as an active member in good standing or registered (or qualified to register) as in-house counsel under the Rules of the Court of Appeals of the State of New York. Should have 4+ years of securities capital markets experience at a large financial institution and/or a leading law firm. Deep understanding of corporate debt capital markets (investment grade, high yield, leveraged finance (bonds), US private placement, and general 4(2) placements), (ii) corporate equity capital markets (IPOs, secondary offerings, and other non-derivative equity structures), (iii) bespoke debt private placements. Willingness to learn and assist with broker-dealer capital markets regulatory matters, issuer-side Treasury funding programs, and securitization capital markets as needed.
