Commercial Contracts Attorney The candidate will serve as the chief legal advisor to at least one business unit of the company (Foodservice, Food Merchandising or Beverage Merchandising) and at least one business function of the company (Engineering, Finance, Human Resources, Information Technology, New Product Development, Procurement, Supply Chain or Sustainability). Provide day-to-day legal advice and support to the officer-in-charge and staff of the business unit or function, including in connection with the development, implementation, training and compliance of its systems, policies and procedures. Draft and negotiate strategic agreements within the areas of responsibility of the business unit or function and its customers, suppliers and other external parties. Investigate and resolve legal disputes within the areas of responsibility of the business unit or function and its customers, suppliers and other external parties. Retain and supervise outside counsel and other legal consultants in providing legal advice and support for the business unit or function in an area of legal expertise not available within the company legal function. Assist CLO in recruiting, training, supervising, mentoring and developing one or more attorneys, paralegals and other support staff in the company's legal function. This position will manage one or more attorneys, paralegals and other support staff. Serve as an assistant secretary of the company and assist CLO as necessary with corporate governance responsibilities. Perform or assist on special projects as directed by the CLO (e.g., mergers, acquisitions or dispositions of business unit or assets; banking and finance; intercompany restructurings; etc.).
The candidate should have a Bachelor's degree or equivalent from an accredited four-year college or university. Juris Doctor degree or equivalent from accredited law school. Licensed and in good standing to practice law in the State of Illinois. Should have 15 years of experience as a licensed attorney. Relevant areas of experience include antitrust and trade regulation, banking and finance, compliance, contracts drafting and negotiation, commercial transactions, corporate governance, environmental, export controls, intellectual property, international transactions (particularly Canada, Mexico and countries in Asia and Europe), labor and employment, mergers and acquisitions, real estate and securities. Prior legal team management experience combined with a proven track record of developing, coaching and mentoring direct reports. Proficient in MS Office Suite (i.e., Word, Excel, and PowerPoint). Excellent written and verbal communication skills, including presentation skills and the ability to communicate and influence at all levels within the organization. Self-directed with the ability to work in a fast-paced, changing environment with multiple accountabilities and multiple internal business partners. Strong analytical skills as well as organizational skills. Skills in handling conflict resolution situations. Ability to objectively coach employees and management through complex and difficult issues. Ability to be discreet with confidential information and sensitive issues. Ability to work a flexible schedule during key business deadlines. Must be team oriented with the ability to work on high collaboration and performance teams. Fluency in Spanish is desirable but not required for this position.
