Senior Counsel, Privacy and Data Protection The candidate will ensure compliance with global privacy and data protection laws while enabling data-driven innovation, with a particular focus on supporting strategic transactions globally, including acquisitions, investments, and joint ventures. Should have the ability to think and act both strategically and tactically with respect to the needs of business clients and their objectives while ensuring that the corporation remains compliant with global privacy and data-related laws, as well as industry best practices. Engage with cross-functional stakeholders to conduct legal due diligence on target companies and their products and services, from a data, privacy, and cybersecurity perspective. Among other things this involves reviewing the target companies customer agreements (including data processing agreements), privacy policies and documentation practices, and overall data practices among others relating to personal data, data transfers, cookie usage, profiling, usage rights, anonymization, retention, and employees. Develop a deep understanding of target companies data processing activities and privacy and cybersecurity compliance postures. Identify business and technical requirements resulting from potential synergy solutions and product integrations, and provide preliminary guidance on how to design and implement the required controls to adhere to privacy, cyber, and data protection laws. Educate the business on privacy, data, and cybersecurity developments and controls for the further development of target companies products and services. Update a range of stakeholders including senior management and executives on identified privacy and cybersecurity compliance gaps and potential remedial measures. Develop a comprehensive roadmap for the integration of acquired companies including proposed synergies and expansion into new markets. Negotiate relevant terms in legal and contractual documentation including representations, warranties, covenants, and indemnities. Support as needed other transaction-related efforts such as securing representation and warranty insurance. JD from an accredited law school and admitted to and in good standing with at least one bar (as appropriate/required); expertise in global privacy and data regulatory laws and frameworks, including GLBA, CCPA, and GDPR; familiarity with emerging technologies and associated privacy and cybersecurity implications; strong analytic capabilities and written and oral communication skills. Attention to detail is a must; exceptional interpersonal skills with proven experience in relationship building and partnering with legal, business, and technical colleagues; ability to motivate and influence highly-skilled professionals to achieve major organizational goals.
