Legal Counsel - Privacy/Security the candidate will be providing legal advice to the Corporate Privacy Office, Information Risk Management and other key stakeholders to minimize risk and ensure the confidentiality and security of protected health information (PHI) and other personal data. Providing contracting support to various business units, including health plans and corporate shared services, particularly in the review and negotiation of business associate agreements and data use/sharing agreements with subcontractors, other vendors and third parties. Identifying business and data privacy and security legal risks and working with the business to provide solutions that balance legal issues and business objectives. The ideal candidate will have Medicaid and/or Medicare managed care subject matter expertise and a keen ability to develop an understanding of the business and operational goals of assigned internal clients, proactively advise business partners on a wide variety of matters, and work collaboratively with other attorneys on matters related to legal and regulatory compliance. Supporting Privacy and Information Security and others in Legal and Compliance departments with conducting required privacy/security incident review and breach determination and notification processes in accordance with applicable federal and state statutes and regulations and upstream contractual obligations. Participating in compliance reviews or investigations by OCR and other federal or state regulatory agencies. Monitoring changes in data privacy and security laws and other sources of legal requirements (e.g., State Medicaid contracts), and proactively advising key stakeholders regarding appropriate actions. Operating with a high degree of integrity, in alignment with the company mission and culture. The candidate should have a JD and be licensed to practice law in at least one state. Should have 7-10 years of experience pertaining to data privacy and security. Solid knowledge of applicable data privacy and security statutes and regulations, particularly those pertaining to health care, and experience advising corporate clients regarding the same. Experience reviewing and negotiating privacy and security agreements, particularly business associate agreements and data use/sharing agreements. Experience advising corporate clients on incident/breach investigation and response. Experience managing outside counsel preferred.
