Corporate Advice Attorney The candidate will be preparing the annual proxy statement, including researching disclosure trends, drafting and reviewing the proxy statement, and developing responses to shareholder proposals submitted for inclusion in the proxy statement. Preparing, distributing and analyzing Director and Officer questionnaires and responses. Developing annual meeting microsite; and supporting annual meeting logistics and preparing required legal documentation, including meeting script and rules of conduct. Preparing Board and Board Committee meeting materials; and participating in meetings to assist with meeting logistics and minutes preparation, as needed. Conducting benchmarking of emerging and leading corporate governance practices relevant to the financial services industry. Researching ad hoc questions related to general governance and regulatory advice related to board and committee meetings and management. Preparing updates to corporate governance documents as needed; and drafting certificates, powers of attorney and other documentation. Should have a JD degree and active license to practice law in at least one state or the District of Columbia. Must have 3-5 years of experience as an attorney working on securities and public company corporate governance-related matters; the ideal candidate would have experience practicing in these areas with a law firm. Understanding of the rules, regulations and best/leading practices of U.S. public company corporate governance. Familiarity with the general corporation laws of Delaware. Aptitude for, and interest in, public company corporate governance. Ability to manage and direct multiple/concurrent projects and processes successfully. Ability to work collaboratively as part of a team. Strong written and verbal communication skills and capability to interact confidently with directors and senior management when required. Ability to maintain highest levels of confidentiality regarding information, documentation, and interactions. Experience advising financial institutions or other complex international corporations on corporate governance matters a plus.
