Corporate Counsel I The candidate will assists in providing legal services to firms under the direction of senior firms attorneys and the General Counsel, including legal advice, representation and support to firms management and staff in order to facilitate achievement of the Institute's goals, while anticipating and managing risk to protect the Institute. Will analyzes and negotiates proposed contractual and licensing transactions, evaluates compliance with applicable law and policy. Drafts, negotiates and finalizes licenses and other agreements with Firms members, funders, contractors and other third parties; provides specific assistance on international and compliance matters Makes recommendations to senior firms attorneys or management on variance from standard policies and legal terms, including for barter transactions, Intellectual Property justification memorandums, memorandums of understanding, privacy, security and international transactions. Drafts transactional and other documents, including procedures and processes in support of firms policies. Researches and analyzes legal issues on a broad spectrum of subjects that could include among others: intellectual property; legal and regulatory compliance issues (such as export control, Foreign Corrupt Practices Act, anti-boycott, privacy, and antitrust); corporate governance issues; tax exempt corporation law. The candidate should have Law Degree from nationally accredited law school (or foreign equivalent). Must have Bar membership in good standing in the state of TN, or any of the states CA, DC, NY, or NC with registration or willingness to successfully register as an in-house counsel in the state of TN. Should have 1 - 5 years of applicable experience, having both law firm and in-house counsel experience a plus. Familiarity with enterprise resource planning and enterprise content management a plus. Basic knowledge of intellectual property law (licensing) and experience drafting licenses or other contracts is required. Working knowledge of tax exemption laws applicable to scientific research organizations, licensing (including software) and copyright is needed. Must have experience with international transactions and international compliance issues such as export control and general data protection regulation a plus.
