Transaction Counsel - Real Estate The candidate will assist AGC/Senior Transaction Counsel and deal teams with transactions and provide appropriate legal advice in connection with those transactions, including all real estate components, commercial finance/asset finance, non-recourse debt, tax equity, and M&A transactions. Review all transaction documents, ensure compliance with Company policy requirements and preferences, and identify and coordinate review by Company departments on relevant provisions (e.g., tax, accounting, environmental, construction etc.). Work with outside counsel and local counsel on the appropriate scope for applicable legal matters, as necessary. For principal deals, liaising with internal resources in regard to procuring transaction-related corporate resolutions, internal transaction approvals and parent company guarantees, and in all cases otherwise facilitating the closing of transactions. Work with support personnel to oversee the maintenance of the corporate records and good standing requirements of the Company. Interface with document management to assure retention of complete records of each transaction. Manage and appoint outside counsel as necessary. Other tasks and projects as assigned.
The candidate should have a law degree from an accredited institution. Must be qualified to practice law in California, New York or Texas. Must have 5-7 years of real estate (preferably energy-related) experience with a major US law firm or in-house counsel with a major project development company with similar experience. Significant experience in commercial finance/asset finance (including project finance) non-recourse debt, and tax equity, together with M&A experience highly desirable. Industry and/or in-house experience with a finance/investment/development company will be highly regarded. Ability to take a commercial approach to the provision of legal advice. Ability to handle a variety of projects, manage competing priorities and coordinate multiple tasks simultaneously. Self-motivated, self-disciplined, and highly results-oriented. Ability to think and work independently, but to be collaborative as required. Ability to work with all levels of management. Strong organizational, problem-solving, and analytical skills. Excellent written and verbal communication skills. Experience working in renewable energy are highly preferred. Willingness to travel as required (10-20%).
