Corporate Counsel Duties: Draft and negotiate construction-related contracts, including Innovative forms of construction contracts such as Progressive Design-Build, CMGC, CMAR, IPD, Alliance and PDA type contracts. Design-Build construction contracts. Joint venture agreements. Design Services agreements. Concession Agreements (P3 transactions). Bid-Build construction contracts. Subcontract agreements with subcontractors. Interface agreements. Lenders direct agreements. Parent company guarantees. and Non-disclosure agreements. Review large project contract documents and identify and analyze legal risks related to these projects and report on legal risks to management. Participate in one-on-one meetings with owners to support the negotiation of contracts. Liaise with project owners to educate them on solutions for the optimum risk sharing in the Contracts. Participate in Industry events representing Flatiron, providing feedback regarding project delivery, risk management, and other contractual and commercial matters. Work with joint venture partners and external counsel to close out deals, complete closing paperwork, obtain relevant signatures, preparing closing books. Preparing user manuals summarizing key components of project contracts for use by the project team. Review submission requirements and forms in Requests for Proposal. Drafting and updating company contract templates. Develop, strengthen and sustain productive and collaborative working relationships with personnel at all levels to encourage and continue the proactive use of in-house legal counsel. Ensure compliance with contract management procedures. Provide ongoing support to project site teams for the legal review of subcontracts, purchase order agreements, and service agreements. Provide training to project site teams regarding contractual issues. Interpret and ensure adherence to federal and state legislation relevant to the business. Managing external counsel and reporting on legal budget.

The candidate should have a Juris Doctorate. Must have 5+ years of relevant post-Bar professional experience preferred. Transactional and negotiation experience preferred. Admitted to practice in one or more of the following states: CO, CA, NC, NY, WA, TX, or the ability to be admitted in based on corporate representation. Prior work experience within the heavy civil construction industry is preferred. Experience in related industries such as commercial construction, mining or energy will also be considered. Experience with a variety of project delivery types through the complete project life cycle is strongly preferred. Demonstrated (exceptional) capabilities in the following areas: Communication and Drafting skills oral, written, presentation, ability to influence; Analytical and problem solving; Coaching and consulting with a proven track record in quickly gaining credibility and partnering collaboratively with business leaders; and Computer and software systems (Microsoft office family, etc.).
