Corporate Counsel The candidate will support the Vice President and General Counsel. Serve as a key value-added strategic business partner to provide practical and focused legal advice on commercial matters, compliance with laws and regulations, management of intellectual property, and litigation management. Review, draft and negotiate agreements of varying complexity, including commodity transactional agreements (master purchase and sale agreements; transportation (rail, barge and trucking) agreements; storage and handling agreements; IP license agreements; leases and customer and supplier contracts. Assist in the development of policies and procedures in support of business goals and priorities and to mitigate corporate risk and provide advice, counsel, and guidance on delegation of authority requirements and company policies and procedures. Manage outside counsel, as required, to obtain legal opinions, assist with complex business relationships, and manage litigation. Conduct legal research into current and future regulatory laws and interpret effects upon business unit operations and advises appropriate management of implications thereof. Prepare and maintain corporate governance records. A Juris Doctorate, with state bar membership in good standing required. Should have 3 years of experience practicing law in a top-tier law firm or in-house practice. Experience with domestic and international freight contracts and contracting with international counterparties preferred. Highly intelligent, analytical, articulate and have outstanding academic credentials. Capable of generating a high degree of respect and trust rapidly from the departmental and company leadership. Exceptional drafting and communication skills, both written and verbal, and the ability to work in teams and independently. Strong attention to detail. Strong interpersonal and negotiation skills.
