Compliance Counsel Duties: Serve as an internal subject matter expert on trade and export compliance to aid with the continuous improvement of the compliance program, including by developing internal procedures, reviewing restricted party and due diligence escalations and advising on appropriate mitigation, and working with outside counsel to obtain additional advice as needed. Partner with the Legal Commercial and Legal Go-to-Market teams and others on reviewing compliance provisions in customer and partner agreements (and templates) and helping to develop commercial program terms necessary for compliance with trade and export controls and other compliance areas. Work on internal investigations on compliance matters, either directly or by providing oversight to non-attorney investigators, and draft written investigation reports. Develop internal educational materials and protocols as needed around contract negotiations, investigations, restricted party screening, and other compliance program areas. Collaborate to develop global training plans, and to build and deliver concise, impactful compliance training material for global employee populations. Assist in the planning and conduct of risk assessment activities and/or other continuous monitoring and improvements to existing program areas. Help prepare program updates to the legal department and any other internal reporting needed for senior stakeholders. Maintain a high degree of knowledge of applicable laws and regulations and ongoing changes. Serve as a key business partner by providing clear, creative, practical advice and guardrails to other the Company's teams. Enhance company systems and processes by providing necessary inputs from the compliance point of view.
Qualifications: Graduate of an accredited law school. California or Washington State Bar Membership. 5+ years of legal experience (either at a law firm or mix of law firm and in-house) with 3+ years of direct work experience in global trade and export compliance. Prior in-house counsel experience at a Saas Company is preferred. Experience reviewing sanctions screening and compliance due diligence results and recommending appropriate mitigation. Experience participating in internal investigations, including scoping investigation plans, interviewing witnesses, and writing clear and concise investigation reports. Experience drafting policies and procedures, building and/or improving compliance systems. Experience delivering training to live audiences, excellent public speaking skills. Ability to provide practical advice, including through clear and concise communications and developing simple, effective policies and procedures. Experience with cloud and software industries, and general desire and fearlessness when it comes to learning about complex technological products. Familiarity with anti-bribery, AML, and/or antitrust a plus. Expertise with Word, PowerPoint and Excel or equivalent (including managing, analyzing, and synthesizing datasets).
