# Senior Counsel I - Construction and Real Estate Gilead Sciences is looking for an experienced attorney with a background in construction contracts, commercial leasing, and real estate matters to join their Corporate Legal team. This position will primarily support the Corporate Engineering & Facilities and Pharmaceutical Development & Manufacturing organizations, and may also support other areas such as environmental health and safety, sustainability, corporate security, commercial, corporate development, and manufacturing. ## Job Responsibilities The Senior Counsel will be responsible for: * Drafting and negotiating a full range of construction contracts, including AIA agreements and supplementary terms and conditions for design-build, lump sum, guaranteed maximum price, integrated project delivery, architecture and engineering, and related agreements. * Supporting commercial lease transactions across Gilead's global real estate portfolio, including drafting and negotiating lease agreements, LOIs, extensions, amendments, consent forms, and other ancillary documents. * Preparing master services agreements, consulting agreements, confidential disclosure agreements, and other commercial agreements in support of Gilead's Facilities and Manufacturing organizations. * Partnering with senior management throughout the Corporate Engineering & Facilities, Pharmaceutical Development & Manufacturing, and other areas to ensure smooth, efficient, practical and quality coordination between the business and legal teams. * Advising on and resolving transactional negotiation escalations and potential contract disputes. * Maintaining and improving productive and efficient ways of working with a wide range of cross-functional colleagues and subject-matter experts. ## Requirements The ideal candidate for this position will have: * Expertise in drafting, negotiating and interpreting a wide range of construction contracts as well as general commercial and vendor agreements, such as master services agreements, consulting agreements and confidentiality agreements. * Expertise with commercial leases and other real estate transactions, and familiarity with related areas such as land use and planning and environmental, health and safety matters. * Experience developing and implementing contract processes and knowledge resources, such as contract templates, playbooks, back-up provisions, client guidance, and team and client training materials. * Excellent analytical, problem-solving, written and presentation skills. * A high degree of client service orientation and ability to recognize and respond quickly and pragmatically to urgent, complex situations and demanding clients. * Willingness and ability to coordinate activities of many stakeholders across various departments, not only within the company's headquarters in Foster City, but also throughout the company's international organization. * Experience using a contract lifecycle management software (e.g., Apttus). * Knowledge of Gilead's business and the pharmaceutical industry in general, including knowledge of regulations governing the pharmaceutical industry. * 6+ years of prior industry or law firm experience providing legal counsel on construction contracts, commercial lease transactions, and facilities operations matters. * Juris Doctorate or equivalent advanced degree from a nationally accredited law school. * Admission to the California state bar, registration as in-house counsel, or ability to gain admission or registration for either within 90 days. ## Salary and Benefits The job is full-time and based in Foster City, California or Morris Plains, New Jersey. Compensation will be commensurate with experience and Gilead offers a comprehensive benefits package. Juris Doctorate or equivalent advanced degree from a nationally accredited law school; and Admission to the California state bar, registration as in-house counsel, or ability to gain admission or registration for either within 90 days.
