# Senior Counsel I - (Construction, Real Estate) ## Job Overview Gilead Sciences is looking for a Senior Counsel to join their Corporate Legal Team. The ideal candidate will have experience in facilities and construction contracts, commercial leasing, and other real estate matters to support Gilead's corporate operations. This position will be based in either Foster City, California or Morris Plains, New Jersey. ## Responsibilities The Senior Counsel will be responsible for: * Drafting and negotiating a full range of construction contracts, including AIA agreements and supplementary terms and conditions for design-build, lump sum, guaranteed maximum price, integrated project delivery, architecture and engineering, and related agreements. * Supporting commercial lease transactions across Gilead's global real estate portfolio, including drafting and negotiating lease agreements, LOIs, extensions, amendments, consent forms, and other ancillary documents, and working with local country counsel where appropriate. * Preparing master services agreements, consulting agreements, confidential disclosure agreements, and other commercial agreements in support of Gilead's Facilities and Manufacturing organizations. * Partnering with senior management throughout Corporate Engineering & Facilities, Pharmaceutical Development & Manufacturing, and the broader company to ensure smooth, efficient, practical and quality coordination between the business and legal teams. * Advising on and resolving transactional negotiation escalations and potential contract disputes. * Maintaining and improving productive and efficient ways of working with a wide range of cross-functional colleagues and subject-matter experts. ## Requirements The ideal candidate will have: * Expertise in drafting, negotiating and interpreting a wide range of construction contracts as well as general commercial and vendor agreements, such as master services agreements, consulting agreements and confidentiality agreements; * Expertise with commercial leases and other real estate transactions, and familiarity with related areas such as land use and planning and environmental, health and safety matters; * Experience developing and implementing contract processes and knowledge resources, such as contract templates, playbooks, back-up provisions, client guidance, and team and client training materials; * Excellent analytical, problem-solving, written and presentation skills; * A high degree of client service orientation and ability to recognize and respond quickly and pragmatically to urgent, complex situations and demanding clients; * Willingness and ability to coordinate activities of many stakeholders across various departments, not only within the company's headquarters in Foster City, but also throughout the company's international organization; * Experience using a contract lifecycle management software (e.g., Apttus); * Knowledge of Gilead's business and the pharmaceutical industry in general, including knowledge of regulations governing the pharmaceutical industry; * 6+ years of prior industry or law firm experience providing legal counsel on construction contracts, commercial lease transactions, and facilities operations matters; * Juris Doctorate or equivalent advanced degree from a nationally accredited law school; and * Admission to the California state bar, registration as in-house counsel, or ability to gain admission or registration for either within 90 days. ## Salary The salary for this position is competitive and commensurate with experience.
