Corporate Counsel
The candidate will oversee all legal matters and interact with all departments within the organization, providing legal service and support for all aspects of the corporation's activities. Will also assist/collaborate with the President on acquisitions/strategic transactions. Report directly to the President. Advise on legal matters including contracts, employment law, securities law, intellectual property, risk management and corporate governance. Prepare and oversee '34 Act reporting. Assist in negotiating and executing strategic transactions, including acquisitions, divestitures, distribution relationships, licensing and strategic alliances. Conduct business and legal due diligence, structures and negotiates proposals and term sheets, and manage the day-to-day aspects of closing. May attend industry tradeshows, visit companies, and observe medical procedures to support business development activities.
The candidate should have a J.D. from a reputable law school. Must have 5+ years of corporate legal practice. Both firm and in-house experience a plus. Medical device experience also a plus. Some travel is required.
