Tax Counsel
The candidate will report directly to the Senior Tax Counsel - Tax Planning and Strategy. Will be responsible for management of all merger and acquisition matters, tax structuring planning and principle structure governance for the company. Manage, develop and implement tax planning strategies that meet the company's goals and objectives globally. Support new business initiatives including acquisitions, dispositions and joint ventures from an international, federal, state, and local perspective for all legal entities. Research and draft technical memorandums to support tax strategies. Provides subject matter expertise in the transactional due diligence, and integration phases of corporate mergers and acquisition matters. Consult and advise on significant transactions and provide timely business support and analysis. Responsible for tax research and planning with a view to attribute preservation, minimization of cash taxes and effective tax rate planning. Monitor principal structure. Interface with other members of the Tax Planning and Tax Operations teams to ensure proper alignment of tax planning and reporting. Track planning opportunities and projects globally. Manage implementation and coordination across functions. Develop and maintain policies and procedures to support principal structure. Provide oversight and review planning work products. Coordinate with external advisors. Provide controversy support as needed.
The candidate should have an undergraduate degree in accounting or equivalent. CPA or J.D. degree is required. Master's in taxation or LL.M. highly preferred. Must have 7-10 years of experience of related tax research/planning / consulting experience. Should have experience in corporate restructurings, mergers and acquisitions. Must have proficiency with income tax accounting and reporting standards (FAS 109, FIN 48, IAS 212, FAS 123R, etc.) and a solid understanding of corporate income tax matters and tax industry issues. Should have extensive experience in identifying, analyzing and communicating complicated tax issues in terms of impact on business operations and results. Must have excellent quantitative and analytical skills with a sound understanding of the financial statement and tax audit implications of tax planning.
