Senior Director and Senior Corporate Counsel The candidate will handle corporate legal matters and to advise management on corporate governance issues related to the Company. Will identify highly complex legal issues affecting the company and/or highly sensitive issues of major scope and impact. Prescribe, develop, and implement courses of action necessary to address major issues and questions. Negotiate, develop, and approve highly complex documents and transactions requiring in-depth experience and knowledge. Responsible for the provision of legal services in assigned areas of the company and/or in specific substantive and complex legal areas. Guide junior attorneys in the area and define plans and policies for the area. Advise on highly complex matters requiring highly developed legal and counseling skills in several specialized areas of expertise and a wide breadth of legal and business knowledge. Provide legal counsel, guidance and direction to the corporation with respect to diverse and complex matters affecting the corporation and its business, as assigned. Act as a senior advisor to management with respect to the planning and implementation of complex business transactions. Implement appropriate processes and policies to ensure compliance with applicable laws and regulations and to avoid disputes. Advise in dispute resolution and management of all legal issues that arise in the organization. Interpret laws, rulings and regulations. Resolve important strategic legal issues independently. Demonstrate a high level expertise in one or more areas of legal practice. Manage assigned projects to completion, including management of the services of outside legal counsel. Supervise the activities of, train, and manage junior attorneys, paralegals, and clerical support personnel. All other duties as assigned. The candidate should have J.D. degree and be licensed to practice law by a state in the United States. Must have 10 + years of corporate law background, including broad-based commercial transaction experience; preferably, combined in-house and law firm experience. Extensive experience with contract management; demonstrated ability to review, analyze, draft, negotiate and close agreements or legal documentation is required. Should have willingness to work on a broad variety of legal issues and exercise sound judgment in the face of ambiguity. Excellent interpersonal skills and ability to work as a valued member of corporate management, supporting operating group leaders and their staffs, to build relationships and foster the confidence of clients are needed. Should have proven ability to identify and analyze potential legal issues and develop business-focused legal advice and solutions.
