Senior Corporate Counsel, Commercial Transactions and Compliance Duties: Will report directly to the Senior Vice President, General Counsel and Corporate Secretary, and will assist in developing and implementing strategy and policies/practices for the Legal Department, with special emphasis on commercial transactions, compliance and customer facing agreements. Will provide general corporate and commercial legal services to a variety of in-house clients across multiple global corporate functions at company. Will also work with Aspect's business operations, serving as lead counsel on strategic deals, providing day-to-day advice, resolving issues that arise in existing commercial relationships, handling pre-litigation legal disputes and inquiries, and identifying opportunities for and implementing legal process improvements. Principal duties include legal advice, support and training on a wide range of commercial and regulatory compliance matters, including intellectual property and telecommunications, data privacy regulations, TCPA, HIPAA, FCPA and foreign anti-bribery regulations, export controls, encryption registration, US and worldwide corporate law including foreign subsidiaries and branches. Assist and facilitate the Senior Corporate Counsel in role. Will also have managerial responsibilities, overseeing management of the Company s Corporate Counsel and/or other legal staff. Will be responsible for developing a thorough understanding of the company's business, products, markets, customers and partners in order to identify trends and formulate effective strategies. Advising and counseling the business team on the various legal issues and risks, business strategies, complex deal structures, approval processes, intellectual property and other issues related to technology transactions. Providing critical support to or leading complex legal transactions and negotiations. Reviewing and finalizing a wide range of complex, value added transactions and programs and providing legal documents with multiple elements of delivery, which may include: distribution agreements, master agreements, consulting, hosting, SAAS and outsourcing services, OEM arrangements, maintenance/support programs, technology agreements, while working collaboratively with the business and program teams, including various executives. Analyzing contract terms, conditions, requirements and special provisions to ensure compliance with appropriate laws and corporate policies, providing advice to management and negotiation teams, including advising product teams on the appropriate commercial structure for new product offerings. Performing due diligence and integration of acquisition targets. Providing legal support for commercial transactions negotiated by the Company's "Deal Desk" team, which is the frontline for negotiating and documenting customer agreements. Standard Contract Templates Create and periodically review and update standardized contracts for new and recurring business activities, including customer facing agreements, acceptable first choice and alternative contract clauses with annotations explaining proper use and purpose of such clauses, policies and contract provisions that minimize the Company s risk and liability exposures, and materials to train company personnel regarding the use and meaning of standard contract terms and to enable the Deal Desk and Sales to solve recurring customer concerns. Will also be expected to present training for sales and other employees regarding use and meaning of standard contract terms and contract management policies, procedures and workflows. Localization of Agreements The position may require work with our Regional Counsel and other international team members to manage the localization and translation of standard contract terms for uniformity as necessary or appropriate. Reviewing marketing/advertising materials, web material and brand strategy for legal compliance, risk avoidance and protection of the Company s intellectual property assets. Such activities may include advising the business on trademark and copyright requirements. Providing legal support and guidance for internal functions, including human resources, product management, compliance, risk management, product sales, services, procurement, operations and finance. Placing special emphasis and focus on cost efficient delivery of prompt, responsive and quality legal service, including effective management of outside counsel when needed.

Qualification Requirements: A Juris Doctor degree from an American Bar Association accredited law school; excellent academic credentials. Must be admitted and in good standing to practice law before a State Bar. 10 +years combined training in a law firm and in-house legal position. Experience in the software or other high technology industry preferred. Knowledge of pertinent laws, including distribution, software licensing, international and foreign corporate law, export control, FCPA, US anti-trust law, and other competition, data privacy and security laws; other laws that apply to multinational business. Ability to clearly articulate and defend risk analysis to a broad range of clients and internal stakeholders, from staff employees to executive management. Must have an in-depth knowledge of the structure, drafting and negotiation of worldwide commercial agreements, technology licenses, software development, procurement and SAAS/Hosted/Cloud Computing agreements, cross-border channel and distribution agreements, leases and confidentiality agreements, in order to draft and provide template agreements for emerging business, negotiate complex corporate transactions and advise contract staff on sales negotiations. Must have knowledge of corporate governance, security and risk management, corporate operational matters, finance considerations requiring legal input, technology licensing and contracts and must be able to manage strategic international commercial transactions. Ability to examine business practices critically and ensure that they are aligned with requirements of law and acceptable business practice. Experience with technology, sales, licensing and procurement transactions such as distributor agreements, cloud computing agreements and hardware and software product and services sales agreements. Demonstrated ability to draft, review and negotiate complex IT contracts. Should be proven team player and consensus builder that takes a business approach to law. The candidate should be a positive, team-oriented person, and express a consistent desire to exceed expectations. Should be proactive problem solver who can work autonomously and handle significant client contact in a fast-paced environment. The position will need to work with many people in many other departments and must enjoy building positive relationships cross-functionally. Knowledge of US GAAP principals and the revenue recognition rules within the software industry a plus. Effective written and oral communication skills are essential. This includes the ability to clearly present information (in writing and orally) and respond to questions from executives, managers, customers, and other employees with a focus on client service. This also includes being diplomatic, approachable and possessing good business and personal judgment. Must be able to manage conflicting demands from multiple business clients in a fast-paced environment. Excellent organizational skills, ability to manage multiple projects at once, follow through and meet deadlines. Some domestic travel required.
