Corporate Counsel The candidate will report to the Director, Legal. Will be responsible for working as a member of company s global legal and compliance team to manage and supervise on a worldwide basis matters involving some or all of the following: negotiations, contract drafting, patent, copyright, trademark, trade secret as well as other intellectual property, credit agreements, credit facilities, collections, extensions of credit, bankruptcy, mergers, acquisitions, real estate transactions, corporate governance, labor, employment, benefits, compensation, environmental compliance, privacy laws, trade compliance, import and export regulation and government contracting, and other matters or disputes as required. Work and interact with company business leaders (including its subsidiaries and affiliates). Advise in resolving business and legal issues in conjunction with all levels of company management. Draft, revise, review and comment on various global agreements and related documents, including supply, customer, reseller credit, lending, real estate, licensing, and employment agreements. Collaborate with members of company management and other business to solve problems, develop contracts, settle disputes, manage the liability profile of company. Develop, review and recommend policies and procedures for compliance with laws and government regulations. Work with company management, customers and suppliers to develop creative solutions to contractual and compliance issues. Establish, develop and review company policies and procedures, create training programs, and instruct and counsel human resources professionals and business managers on a variety of compliance and risk management matters including: employment laws and regulations, benefits and compensation, and employee and labor relations. Provide oversight to members of the contracts department, which is responsible for the day-to-day management of customer contracts, and manage paralegals and other legal personnel responsible for ordinary legal matters. Draft board and stockholder minutes and advise company management on global corporate governance matters. Conduct and manage research and present recommendations to Law Department management to solve complex commercial, legal and regulatory issues.

The candidate should have a Law degree (Juris Doctor) from a top law school with 3 years of experience practicing law in a prestigious law firm. Must have had experience in various aspects of the law, such as corporate law and/or regulatory compliance. Prior experience in business such as management or accounting is preferred. Experience with cloud computing and open source is desired.
