Texas - Corporate Counsel II

A Fortune 500 Company seeks Corporate Counsel II having 10+ years of experience in private practice and/or in-house practice supporting major technology businesses. The candidate will identify legal solutions and recommend courses of action that help resolve the client organization's business issues. Will act as legal advisor and advocate for the company in litigation, regulatory and governmental administrative matters. Balance the business interests of assigned client groups with ultimate fiduciary responsibility to company. Represent the company to customers, suppliers, competitors and government agencies. Prepare documents to support assignment in one or more areas, such as sales, procurement, alliances and other commercial transactions, litigation, real estate, mergers and acquisitions, antitrust, tax labor, health and safety, employment. Contribute to the development of innovative principles and ideas. Lead large, cross-division functional teams or projects that affect the organizations long-term goals and objectives. Provide mentoring and guidance to lower level employees. Lead client organization decision making process for resolving complex and high risk legal issues. The candidate should have a J.D. degree from an accredited university, and admission to a State Bar. Must have significant experience in the Software industry with sound knowledge of Software consulting, integration and services. A strong background in telecom and CME market space is a plus. Should have demonstrated mastery in negotiating or advising on significant, complex and high value/risk commercial and IP transactional matters. Must have experience in a large corporate environment, as an attorney and/or business professional.
