Corporate Counsel

Lowell AR Corporate Counsel The candidate will be responsible for assisting senior attorneys with advising the Company on matters relating to a broad range of legal areas such as corporate, commercial, transactional, litigation, real estate, intellectual property, labor and employment, company policies, document and data management, regulatory and other legal and compliance matters. Will assist with: document drafting, analysis and review relating to a variety of business-related situations; legal research and analysis; various matters involving commercial and employment litigation, including responding to discovery requests and subpoenas; guiding and drafting company policies; providing guidance to the Human Resources department on compliance matters, including advice regarding proper responses to garnishments; legal hold management and development of data and document retention policies; assessing and mitigating risk associated with development of new business relationships, models, service offerings and/or business methods; advising the Company of current legal and regulatory developments and determining impact on Company services; intellectual property matters; collaboration with other members of the legal department and outside counsel. Must have a J.D. degree. Should have 4+ years of experience with major law firm, corporate law department or equivalent. Industry experience is preferred. Must be licensed to practice law (and in good standing) in at least one jurisdiction. Must have demonstrated ability to influence business leaders and impact decision-making. Should have excellent project management skills, writing skills, listening and oral communications skills, diplomacy, finesse and interpersonal skills. Legal 4 - 0 Full-time 2017-12-08

Lowell AR Corporate Counsel - Contracts The candidate will support business leaders in the negotiation, drafting, and review of sell-side and buy-side agreements including transportation agreements, outsourcing agreements, technology agreements, commercial leases, equipment purchase agreements, and numerous other types of commercial agreements. Will negotiate, draft, finalize, and evaluate contracts with customers, outside carriers, suppliers, vendors, and lessors. Develop and leverage internal and external relationships and networks to maximize the achievement of business goals. Provide general legal, compliance and insurance advice. Direct legal support for business transactions and projects involving risk. Identify, assess and manage risk to the company. Participate in other duties as assigned.

The candidate should have a J.D. degree from an ABA-accredited law school with excellent academic credentials. Should be licensed to practice law (and in good standing) in at least one state. Must have 2 years of relevant legal experience post-degree. Experience negotiating, drafting, and reviewing commercial agreements is required. Experience in negotiating and drafting transportation and software/information technology agreements is preferred. Experience with real estate transactions and contracts is desired. Experience working in a corporate legal environment is an asset.

Bentonville AR Associate General Counsel - Merchandising Marketing and Supply Chain
The candidate will handle transportation and distribution areas of the merchandising, marketing and supply chain section of company's legal division. Will be the primary legal contact for the transportation division of company's US operations, providing legal counsel on regulatory, contracts, claims management and general business projects. Daily work will include: general contract work, negotiation of complex commercial transactions, legal counsel on matters ranging from regulatory compliance to corporate governance, policy and procedure review, and other matters impacting day to day operations.

The candidate should have a J.D. degree from an accredited law school with excellent academic credentials. Should be licensed to practice law in good standing in at least one state. Must have 9+ years of experience in a corporate legal department, law firm or governmental agency. Should have experience in the areas of transportation and retail distribution, including familiarity with the Carmack regulatory regime, the regulation of private and commercial motor vehicles, compliance with transportation safety standards, oversight of commercial freight shipment activity and contracts of carriage. Experience with the following agencies is a plus: FMCSA, PHMSA, STB, EPA, ATF and FDA. Should preferably have 1 year of supervisory experience.
