Senior Corporate Counsel The candidate will be responsible for advising the company on a variety of legal matters including, U.S. and international direct selling regulatory matters, contracts, HR matters, litigation, international work, and coordinating with outside counsel when necessary. Will advise the company and conduct research on, direct selling law, nutritional supplement law, general business and employment law in the US and internationally. Exemplify firm's core values and will be proactive in understanding and overseeing all regulations with respect to the FDA and FTC. Draft, negotiate and review contracts in all aspects of the operation of the business. Respond to requests from all departments to assist with legal research, and legal advice. Provide legal advice to the company s distributor compliance/ethics department by, among other things, conducting reviews of company or distributor created promotional materials. Advise the company, and conduct research on, legal issues in all international markets where firm's presently does or is contemplating doing business. This includes international subsidiary compliance and corporate governance. Maintain a close relationship between the legal department and the market expansion department, as well as the general managers and staff of each foreign market. Advise on legal issues relating to the company s e-business, including the websites for each market, and ensure compliance with e-commerce laws and regulations. Assist in litigation including managing outside counsel (including international counsel), investigating cases to determine causes of action, reviewing pleadings and maintaining case files.

The candidate should have a Law degree with 5-10 years experience. Membership in the Utah Bar preferred. In-house experience preferred (with in-house experience in the direct selling industry being best of all). Large law firm experience a plus. Prefer direct selling and/or nutritional supplement background. Strong written and oral communication skills needed.

The candidate will utilize cutting-edge technology and work with team-oriented colleagues. Will establish/maintain long-term collaborative relationships with clients and internal colleagues. Coordinate and deliver accurate, quality US tax returns for assignees and coordinate worldwide foreign tax filings, as appropriate. Coordinate the delivery of various Global Mobility and other Tax services offered by the firm in a proactive manner that meets/exceeds client expectations. Review international assignment-related calculations such as tax cost projections, tax equalization calculations and hypothetical tax calculations. Conduct/review research on various topics such as technical or treaty interpretation/application, regulatory issues, and payroll matters. Prepare/review the related communications for the client. Develop the client's understanding of US and foreign tax, compensation and payroll issues and explain implications of recent law changes. Develop, supervise and manage the client team's technical skills, client service skills, and engagement management skills. Perform engagement management activities including billing, scheduling, performance evaluations, mentoring, managing client expectations, and identifying additional client needs/company opportunities. Assist Partners and Senior Managers by drafting responses, participating in the proposal process, and identifying new business opportunities.

The candidate should have a Bachelor's degree and 5 years of related work experience OR a Graduate degree and 4 years of related work experience. A degree in a related field is essential. A CPA, EA, or J.D. or other related experience or certification relevant to an area of specialization is essential. Must have 3+ years of tax experience. Should have proficient knowledge of tax laws with specialized knowledge in at least one technical area. Proficient knowledge of automated tax processing systems is essential. Should possess and continually increase understanding of complex expatriate tax issues.
