Senior Corporate Counsel

Auburn Hills MI Senior Corporate Counsel The candidate collaborates with the companys General Counsel and Legal Department members on a wide variety of matters involving risk management, litigation support, product development and marketing, and general commercial transactions. Support General Counsel to provide accurate legal guidance to the executive staff on all matters that affect the company. Advise on compliance and risk management in real-world transactions; prepare and provide compliance and risk management training. Assist domestic and global IP expansion efforts and enforcement litigation. Coordinate company efforts during litigation. Work closely with management and collaborate with outside counsel if necessary to address any liability or compliance issues. Collaborate with and assist management of company relationship with outside counsel. Provide counsel to development teams to ensure product clearance and legal assistance to bring product to market. Manage various corporate governmental filings and assist with corporate records. Create vendor contracts and contractor agreements. Review and negotiate agreements related to all areas of Company business. Ensure that the Company is in compliance with all state, local and federal laws and regulations. The candidate must have a strong academic and professional background with a JD and/or LL.M. degree admitted to a US state Bar and in good standing. Should have 3 years of law firm and/or in-house experience in the automotive industry with experience in handling transactional legal matters in automotive and distribution. Must have knowledge about commercial transactions and equity/debt financing/capital markets transactions. Excellent oral and written communication skills and a team player; good interpersonal and presentation skills are required. Understanding of Japanese corporate culture and/or language skills a significant plus.

The candidate must have J.D. from an accredited law school. 4+ years of legal experience managing securities compliance and corporate governance matters in a law firm or fast-paced corporate legal department is necessary. Proven ability to efficiently manage and contribute to significant numbers of projects simultaneously is preferred. In-house experience is beneficial. Experience or interest in working with international corporate and regulatory compliance issues, specifically Irish corporate law is an asset.
