Senior Counsel
The candidate will partner with and provide legal support to various functions, such as company's treasury, risk management, government relations, corporate communications, and real estate groups. Will provide thought leadership to management and the company on areas of expertise. Oversee and advise management on compliance matters under SEC rules, NYSE listing standards, Sarbanes-Oxley requirements and other corporate governance rules and regulations. Prepare and/or review various SEC filings, including Form 8-Ks, proxy statements, Section 16 filings and registration statements. Manage legal function's responsibilities related to quarterly disclosure process, Including Form 10-Q/10-Ks, earnings releases and earnings conference call materials. Implement company policies, including insider trading and related party transaction policies. Plan and oversee annual meeting of stockholders. Advise on executive compensation issues and matters related to the Company's incentive compensation plans. Assist with the Board function, other matters relating to corporate governance, and subsidiary management. Provide day-to-day legal counsel to the finance group, including accounting, tax and treasury. Provide legal support for corporate projects, including debt/equity offerings, M&A. Assist with oversight of the legal function, including managing budgets and related costs to ensure effective use and deployment of both inside and outside legal resources.
The candidate should have a J.D. degree from an accredited law school and Bar admission. Must have 8+ years of SEC subject matter experience, preferably with specific experience in public reporting duties. Prior experience as in-house securities counsel preferred, but law firm candidates will be considered.
