Corporate Counsel

Austin TX Corporate Counsel The candidate works closely with internal business teams on long-term data protection projects to guide their implementation of privacy controls. Assesses the risk of complying with emerging changes in privacy law and balancing the goals of growth and scaling with the risk to the data protection requirements. Provides subject matter expertise to the commercial legal and sales teams during negotiation of privacy and data protection agreements. Advises business teams on day to day questions about data privacy obligations and commitments. Corporate Counsel The candidate will primarily represent and be responsible for all legal matters at company's industrial division. Primary workload will involve contracting, risk management, project team support, and claims. Will work at the corporate level and directly report to the Chief Legal Officer. Draft, review, and negotiate contracts of various types including, but not limited to, prime contracts, maintenance agreements, purchase orders, subcontracts, joint venture agreements, letters of intent, consulting agreements, and other transactions that arise from companys business. Perform legal due diligence, records searches, and legal research. Work proactively in conjunction with various departments to identify and address legal and business issues.

The candidate should have J.D. and 4+ years of practical experience. Should have major law firm experience. Construction industry experience will be preferred. Should have strong academic credentials, strong technical, organizational, and communication skills, both oral and written. Able to meet the high expectations of a demanding work environment while maintaining independence and objectivity. Able to work autonomously, efficiently, and proactively on multiple projects under tight deadlines while maintaining a commitment to quality. Should be sharp, resourceful, dedicated individual with strong work ethic. Should have High emotional intelligence with the ability to relate to a diverse workforce. Should have desire to constantly grow and learn.

Corporate Counsel The candidate will draft, revise and negotiate various commercial agreements, including SaaS or other licensing agreements, IT/ Ops agreements, development agreements and other vendor agreements. Draft, revise, negotiate, and maintain files for non-disclosure agreements for our global portfolio of brands. Assist in administration of corporate policies and procedures, such as vendor security, privacy compliance and contract approval. Work closely with internal business teams to achieve desired business outcomes while minimizing legal risk. Provide other legal support as needed.

The candidate should have JD degree. Should be licensed to practice law in Texas. Should have 4+ years experience, with top law firm experience preferred; in house legal department experience a plus. Strong fact-finding, drafting, negotiating, writing and research skills. Experience with confidentiality / non-disclosure agreements, data protection, intellectual property, digital media and internet industry; familiarity with the international corollaries of these laws a plus. Excellent communication and analytical skills, as well as impeccable attention to detail, strong sense of ownership and accountability. Able to manage competing expectations, be nimble, prioritize effectively and deliver high-quality, error-free work in a fast-paced environment. Strategic thinker and ability to work independently with minimal supervision. The leadership acumen and credibility to inspire confidence among business clients in a high growth business.

Corporate Attorney
The candidate will be responsible for supporting various areas within the company on matters involving corporate law. Will report to the Senior Vice President, General Counsel - Corporate Finance and Securities. Negotiate, draft documents and advise management in connection with mergers, acquisitions and/or divestitures. Assist with corporate governance, securities compliance and regulatory matters, as well as with the corporate secretary function. Manage legal work related to the company's various equity investment activities, including private equity/venture fund investments, warrant and partnership investments and tax-advantaged/community development investments. Support the company's asset management group, including the company's investment adviser subsidiaries. Follow proposed and new legislation to assess potential impact to areas that the attorney supports and apprise management of such legislation. Conduct research, prepare contracts and provide legal advice on general corporate law issues. Advise senior management on various legal issues.

The candidate should have a J.D. degree from an accredited law school. Should be admitted to State Bar of Texas or eligible for admission without examination. Bachelor's degree from an accredited university is required. Must have 4 years of experience practicing corporate and mergers and acquisitions law with 2 years of experience practicing securities law.

The candidate will review and draft consumer and business loan product agreements. Review and revise vendor contracts to meet business line needs. Provide legal and regulatory compliance review of proposed products and assist with product design and delivery process. Review marketing materials for compliance with consumer regulations and business line standards. Provide legal review and resolution of customer complaints, defaults, and document remediation issues. Monitor changes in state laws and federal regulations impacting consumer financial products.

The candidate should be a licensed US attorney in good standing with TX State Bar Association. Must have 3+ years of relevant experience, preferably in a law firm environment, although relevant in-house financial services corporate legal practice also will be considered to be eligible experience. Knowledge of state and federal consumer finance regulations including TILA/Reg Z, Reg B, Reg E, FCRA, RESPA, HMDA privacy and usury laws required. Should have familiarity with bank products and operations in the areas of: Credit cards, debit cards, consumer secured and unsecured loans, home equity loans, student loans, small business loans.
