Legal Counsel - Corporate Governance The candidate will be responsible to advise on U.S. legal entity compliance and Corporate Governance matters. Assists with intercompany transactions among firms U.S. and international subsidiaries. Keep abreast of laws and regulations applicable to insurance companies and insurance agencies and communicate the ramifications of such laws and regulations to relevant staff. Manage preparation of all insurance holding company filings (Form A, Form B, Form D filings as necessary). Prepare or assist in preparation of all other filings for which the Compliance Department is responsible. Handle ad hoc special regulatory projects (e.g., obtaining new company licenses, oversee regulatory financial and market conduct exams, provide assistance in connection with company acquisitions and dispositions) as they arise. Monitor policyholder complaints and responses to such complaints. Perform ad hoc research projects regarding regulatory and compliance issues, often involving 50-state legal surveys. Monitor and appropriately share news from insurance industry associations, bulletins and announcements. Drafts various amendments to intercompany agreements, and other contracts, as necessary.

The candidate should have 4 year college degree and JD degree from an ABA-approved law school. Must be an active member and in good standing of the Bar. Must possess 4-7 years significant corporate contracts, transactional, and merger and acquisitions experience, including drafting and negotiating transaction documents, contracts, and overseeing due diligence in M&A transactions. Should have strong analytical skills. Must have ability to quickly grasp new concepts. Should have good basic skills on Microsoft suite products, Outlook, Word, Excel, PowerPoint. Must have solid reading, writing and comprehension skills. Familiarity with online researching of laws and regulations is required.
