Associate General Counsel - Commercial Transactions/Sourcing and Procurement The candidate as part of a corporate legal team, this attorney will be expected to work in a team-oriented, results-driven practice group which works collaboratively with its clients on complex legal matters with corporate-wide significance. Provide legal support for group enterprise sourcing and procurement transactions in a wide range of categories, including information technology, international services, clinical, and business process outsourcing. Negotiate and draft IT agreements, including software licenses, collaboration and joint development agreements, business process and IT outsourcing agreements, application and website development agreements, offshore sourcing arrangements, cloud computing and software as a service agreements, hosting arrangements, and IT services agreements. Negotiate and draft services agreements for non-IT procurement commodities. Create and maintain template agreements and related negotiation support tools, such as playbooks and checklists. Provide training and support on legal issues and developments. Manage disputes with services and technology vendors. Provide support in Mergers and Acquisitions transactions. The candidate should have Juris Doctorate degree. Current admission to state Bar, and admission to the MN Bar within one year of accepting offer of employment is required. Should have 7 years of transactional legal experience, preferably including the negotiation and drafting of vendor/supplier contracts. Should have proven commercial transaction skills. Must have proven negotiation skills. Should have well-developed written and verbal communication skills. Ability to work collaboratively in a team setting with other attorneys and business staff of multiple levels are needed. Must have ability to manage, handle and prioritize multiple projects.
