Senior Corporate and Securities Counsel The candidate will be preparing all SEC filings, including periodic and current reports, proxy statements, Section 16 reports and confidential treatment requests in collaboration with internal and external accounting and legal teams. Will be working on corporate governance matters, including assisting in the preparation of certain corporate policies and materials for board and committee meetings; providing training to employees on those policies working closely with the Senior Compliance Counsel. Providing legal advice on disclosure matters, including investor presentations, press releases, and other corporate internal and external communications. Coordinating stock option and equity programs in conjunction with Finance and Human Resources departments. Preparing, reviewing and negotiating a diverse range of agreements common to the biotechnology industry, including master services agreements, consulting agreements, employment-related agreements, and sponsored research agreements. Providing legal support on transactions such as collaborations and license deals, working closely with Business Development. Supporting firm s alliances, working closely with Alliance Management and providing legal advice as needed. Providing advice in a wide array of practice areas and special projects as needed. Keeping current on industry-related laws and regulations and create or modify policies and procedures based on such developments. Managing and directing outside counsel when outside expertise is needed.
The candidate should have JD degree from an accredited law school and admitted to practice in Massachusetts or other U.S. State. Must have 8-10 years of relevant experience in-house or with a national law firm; experience with public biotechnology companies strongly preferred, in-house experience is a plus. Must have strong knowledge of securities and general corporate law. Experience in board and corporate governance matters is required. Excellent verbal and written communication skills is required.
