Director Legal Corporate Counsel The candidate will support the company s General Counsel, Deputy General Counsel and Senior Legal Counsel as well as the company s domestic and international business teams. Provide support for the company s US offices and all offices internationally and shall act as the international contact for day to day matters for Europe, Middle East, Japan and Korea. Advise and update General Counsel, Deputy General Counsel and Senior Legal Counsel as well as internal clients (including upper management as needed) on contract status, legal risks and business terms of various deals. Negotiate, draft, review, advise and manage marketing and entertainment agreements, endorsement agreements with athletes and celebrities, sponsorship agreements, agency agreements, events, contests, collaboration agreements, custom cap orders and review marketing content. Negotiate, draft, review and advise on general business contracts, license agreements, confidentiality agreements, international distribution agreements, manufacturing agreements, and other business contracts as well as warehousing, shipping, transportation and operational contracts. Provide assistance with real estate lease agreements, retail store license and franchise agreements as well as other global joint ventures, strategic partnership deals, bank agreements, and mergers and acquisitions through performance of due diligence and advising on integration strategies. Review, process and coordinate terms and conditions in vendor compliance agreements and service agreements. Support General Counsel with ongoing litigation and related discovery responses. Support General Counsel, Deputy General Counsel, Senior Legal Counsel and Director of Tax in various corporate matters including obtaining corporate dividends, and drafting intercompany agreements and loan agreements. Support the Company s leadership in regulatory compliance, compliance with the Foreign Corrupt Practices Act, UK Bribery Act, Office of Foreign Assets Control and the European Union General Data Protection Regulation, as well as New Era s purchase order process, and record retention process. Interact, advise and counsel internal business clients on legal and business matters including customs issues, collections matters, customer service issues and other general business matters as well as all day-to-day legal issues that arise. Serve as the primary point of contact on day-to-day matters for Europe, Middle East, Korea and Japan elevating more significant matters to the General Counsel or Deputy General Counsel. Interact with outside law firms as necessary. Ensure consistency of business and legal objectives in all contracts. Ensure high-quality legal analysis and business advice to internal business clients. Assist in research and review of legal issues impacting headwear designs. Research unique legal issues impacting the organization by identifying applicable statutes, judicial decisions and codes. Coordinate other legal issues and responsibilities as directed. Facilitate cross-functional interaction with employees at all levels. Perform each of the above responsibilities domestically for the Buffalo, Chicago, NYC, Miami and Irvine offices and internationally for our divisions in Europe, Middle East, Hong Kong, China, Brazil, Australia, Japan, Korea, Mexico and New Zealand. Undergraduate and JD Degree and active membership of State Bar in good standing required. 7+ years of practical law firm experience with client contact and prior in-house corporate experience required. Experience working successfully in a rapidly growing fast paced environment required. A general knowledge of likeness and image rights and intellectual property rights as they relate to marketing and licensing is a necessity. Strong interpersonal skills and the ability to build and maintain relationships at all levels of the organization required. Excellent business sense and ability to counsel management on legal and business matters independently required. Strong academic background and a demonstrated record of accomplishments and achievements and superior contract drafting, reviewing and negotiation skills required. Knowledge of legal compliance involving general business law required. Strong research, administrative, writing, analytical and reporting skills required. Excellent organizational skills required. Proficient in MS Office suite Outlook, Word, Excel & PowerPoint required.
