Senior Employment and Corporate Counsel The candidate will Day to day employment law advice: Provide practical and business-focused employment law advice and counsel, taking into account multiple stakeholder perspectives where necessary. Will assess risks and offer client-focused practical solutions and options. Provide extensive day-to-day legal counsel and advice to HR and management on a variety of labor and employment related matters, including workplace investigations, discrimination/harassment claims, FMLA and other protected leaves, ADA reasonable accommodations, employee relations including discipline and terminations, wage and hour issues, background checks, drug testing, separation agreements, layoffs, employment agreements, restrictive covenants/confidentiality agreements, workplace violence, unemployment, AAP, OFCCP, and employee data privacy. Claims management: Deliver effective, business-focused agency charge, attorney demand and litigation results efficiently, appropriately leveraging and managing outside counsel. Proactive compliance: Partner with HR and other stakeholders to develop, implement, and monitor policies and practices to promote compliance and mitigate legal exposure. Expense Management: Manage and evaluate outside counsel in execution of strategies in employment claims and litigation, and provide creative approaches to dispute resolution and represent in connection with EEOC and State employment charges, while managing costs. In-sourcing matters wherever feasible. Report and continuous learning: Partner effectively/collaborate with team members to ensure adequate reporting on litigation outcomes and learning, internal/external trends, legal updates and projects updates, and to develop deliver effective employment law training. Support Chief Legal Officer on corporate equity governance as requested such as preparing share transaction documentation. Support Chief Legal Officer on legal guidance on Long Term Incentive Plans and related legal documentation and Board consents, including tracking and record-keeping of legal documents. Provide support for the ethics hotline and internal investigations working with the Chief Compliance Officer. Provide support for Board of Manager materials related to the Legal Department. Support Chief Legal Officer on 401K and defined benefit plan matters. Manage Key Man Life insurance matters (vendors, tracking, audits, maintenance). Maintain constructive relationships with clients, stakeholders and peers and work collaboratively to identify and assess options for resolving compliance issues. Collaborate and build positive, productive relationships with team members at all levels across the legal department. Provide legal advice and counsel to procurement personnel relative to reviewing, drafting, negotiating and complying with contractual terms and conditions, including federal contracting requirements, indemnification or similar legal protections in third party contracts, purchase orders or similar agreements covering non-employee workers (particularly arrangements with staffing, personnel and outplacement providers and vendors), and job bids. Developing and modifying employment handbooks to ensure existing information and policies are accurate and current. Monitoring changes in state and federal, and international, labor and employment laws to ensure compliance is being met, and audit for compliance with laws. Drafts and reviews select Firm Policies and Procedures. Meets KPIs established for the Legal Department. Review client engagement agreements and related documents (e.g. confidentiality agreements and nondisclosure agreements). Advice on select risk management matters. Interpret laws, rulings, and regulations for the Firm. Obtain appropriate clearance and approvals for projects, third-party engagements and expenses, reviews outside legal counsel invoices for appropriate billings, amounts and scope, tracks and monitors outside legal expenses, and timely submits for payment with the appropriate descriptions.
The candidate should have JD Degree from an accredited Law School. Must have licensed to practice Law in the State of Texas. Membership to the American Bar Association and Association of Corporate Council preferred. Should have10+ years of experience on the wide variety of employment law issues that arise in a corporate environment including but not limited to investigations, policy development t, HR projects, ADA/Leaves/Title VII and improving compliance. Broad and deep employment law knowledge is preferred. Private law firm experience required. International employment laws experience a plus. Certified Equity Professional (CEP) qualification is a plus. Microsoft Word, Excel, Outlook and Internet navigation and research skills are plus.
