Corporate Counsel, Real Estate The candidate will provide legal expertise and counsel on a broad range of real estate matters, with a primary focus on the company s portfolio of retail gas stations. Responsible for working on varied and complex legal assignments within the life cycle of retail real estate and will partner with internal clients to ensure business is conducted in compliance with applicable laws. Prepare, review, revise and finalize a variety of real estate agreements, including: Real estate transaction documents, such as confidentiality agreements, letters of intent, purchase and sale agreements, amendments, extensions, reciprocal access easements, utility easements, restrictive covenants, rights of way, deeds of trust, title commitments, and surveys; as well as, monitoring said transaction throughout the contract feasibility period until close of escrow. Commercial lease agreements, including new-to-industry ground leases and retail station leases; as well as, all extensions, renewals, rent commencements, amendments, estoppel certificates, and subordination agreements related thereto. Monitor condemnation actions through the power of eminent domain and negotiate fair compensation regarding same. Effectively manage pre-litigation claims and disputes with company landlords and tenants. Clearly articulate ideas and information to business associates regarding the legal implications, benefits and risks of provisions in operative documents. Build and maintain strong relationships with a diverse group of stakeholders at all levels of the organization, including senior management. Supervise and coordinate outside counsel and other advisors. Deliver legal training to business associates. Develop templates, processes and policies surrounding business compliance with the same. Juris Doctorate degree required. Current license to practice law in Texas or applicable states in which company has operations required. 6+ years of attorney transactional experience with a major law firm or corporation required. Strong interpersonal skills and the ability to communicate effectively with a diverse group of stakeholders at all levels of the organization required. Ability to adjust work priorities by focusing on critical tasks that add value; is adept at dealing with changing situations; to work effectively with minimal supervision and exercise independent judgment in areas of critical importance to the company; to devise pragmatic and creative solutions to complex business and legal matters; to quickly synthesize business terms and understand the company s objectives and risk tolerance while resolving difficult legal problems; to handle confidential and sensitive issues with professionalism required. Excellent project leadership, including outstanding organizational skills, strategic thinking, attention to detail, integrity, judgement and follow-through required.
