Internal Corporate Counsel Duties: Primary responsibility is to provide legal services with respect to company matters involving or related to any of the following: network and managed care contracting; vendor contracting; compliance oversight and planning; quality improvement; litigation and disputes; regulatory matters; marketing reviews; HR matters. Otherwise provide counsel, in consultation with and as requested by THP General Counsel on the variety of legal matters. Lead as an example of corporate integrity and guidance. Get involved with the day-to-day business, leaders and employees. Provide transparency and communication between Tufts Health Plan and Integra Partners as it relates to corporate compliance and counsel. Chair of the Integra Compliance Committee. Ability to assess current state and review existing governance documents, identify gaps, risks and compliance obligations; design, develop, implement and evaluate compliance roadmap that remediates and mitigates risk. Partner with leaders to ensure appropriate training is in place for all employees and that it is properly disseminated throughout the organization. Create processes and cadence for auditing all contracts and compliance. Align departments with contracting requirements and lead quarterly compliance reporting sessions. Partner with the business to create claims, customer service, IT and credentialing quality improvement and compliance programs. Review all laws that apply to the business and ensure policies, procedures and process meet or exceed guidelines and requirements. Provide legal advice, research, drafting, advocacy, negotiations, consultation and oversight including the following: Network, vendor and managed care contracting, Compliance, Quality improvement, Litigation and disputes, Regulatory matters, Assistance with RFPs and legal review, Marketing review, Employment law and HR matters, Other legal matters.
REQUIREMENTS: Requires a JD Degree and license to practice law in New York. 10+ years' relevant legal experience in a law firm or in-house business environment. Seasoned lawyer with general practitioner-like experience. Expert level of knowledge and experience in business law, capable of acting as primary counsel to a business division. Able to works across the organization and develops strong internal and external relationships to achieve organizational goals and objectives. Experience with compliance functions (including information privacy and security), able to act as compliance advocate and resource. Contract drafting and negotiation skills. Excellent research skills. Strong analytic ability identify issues and develop innovative solutions and strategies to reach satisfactory resolution. Ability to analyze and interpret complex legislation, laws and regulations and assist in compliance efforts. Mature judgment on relevant matters of business and law. Excellent communication skills both verbal and written. Ability to see the big picture as well as pay close attention to detail. Ability to follow-through on commitments and tasks is critical. Experience working with/in organizations between 100-300 employees entrepreneurial mindset.
