Associate Corporate Counsel

Associate Corporate Counsel The candidate will join a team of eight US-based and three EU-based lawyers and will provide legal advice and worldwide support on a wide variety of matters, with principal emphasis on corporate compliance / policy development and implementation, commercial contracts, employment law, and litigation management for 30+ global subsidiaries. Interact with internal clients, including Sales, Human Resources, Finance, Procurement and Compliance to understand their business areas, in order to facilitate projects and participate in and lead cross functional initiatives to streamline and optimize business practices and policies. Provide strategic advice and day to day legal counsel to the company and its subsidiaries on a global basis. Develop, review, update and implement corporate (and site-specific) policies and procedures to conform to current legal requirements and industry best practices (such as document retention, OFAC, FCPA, data privacy policies); collaborate with internal stakeholders in policy development and roll-out. Support global dispute and litigation matters, managing dockets and outside counsel. Proactively identify and manage legal and compliance risks in corporate transactions, contracts and business practices and prudently engage outside counsel assistance where necessary. Advise on general legal matters, including corporate, labor and employment issues, real estate matters, SEC matters and / or M&A. Exact duties will depend on skill set and background that the successful candidate brings to company in combination with the current team. Research and advise on laws and regulations affecting the industries/geographies in which the company operates. Recommend and implement methods to increase the quality of service to internal clients. Provide post-execution support on agreements (e.g., interpreting amendments, extensions, termination, payment issues). Exhibit safety awareness and safe work practices. Perform other related duties as may be reasonably assigned in the course of business. J.D. from an accredited law school and 2 - 7 years big firm and/or corporate experience, preferably in or with experience advising the life sciences industry (eg. pharma; biotechnology; contract manufacturing organization) required. Experience: drafting and implementing corporate compliance policies; in drafting/negotiating consulting, services, confidentiality, supply, manufacturing and distribution contracts in a variety of contexts required. Strong: comfort level interacting with outside counsel when necessary; legal research and writing skills to support global litigation, employment law matters and corporate policy development and implementation required. Superior drafting and interpretative skills required. Understanding of complex legal and business concepts and superior diplomacy skills and an ability to manage conflict required.
