Senior Corporate Counsel The candidate provides senior management with expert and strategic legal advice to management and to the board as requested, demonstrating good judgment in all interactions regarding company strategies, governance, strategic implementation, and legal and regulatory developments that could affect the company. Oversee/direct all legal activities, practices, and policies to ensure effective delivery directly by the legal department and indirectly by outside counsel in support of firm's business operations and mission. Leads and oversees compliance function for firm. Responsible for managing the legal function and overseeing work of outside counsel. Provides timely and insightful legal advice and guidance to senior management and firm managers, and to the Board as requested, on a variety of issues. Develop and implement short and long term legal plans. Serves as primary lawyer/legal advisor on major business transactions. Acts as corporate secretary/clerk. Provides support and advice to shareholder General Counsel, and licensing departments. Drafts and negotiates a variety of critical contracts and drafting of insurance policy wordings. Provides continuing counsel and guidance to Senior Management and business units on legal matters and on implications of legal matters. Develops and institutes corporate legal compliance policies and programs. Trains employees including on policies and procedures as needed. Drafts corporate policies and procedures. Manages legal department staff. Selects, retains, and manages work of outside counsel in an efficient and cost-effective manner. The candidate must have Juris Doctor degree. Should have 5-8 years of experience in corporate law, experience with the insurance industry preferred Demonstrated expertise in contract law as well as insurance and reinsurance law, including GL, PL, AL policy drafting and interpretation. Familiarity with the following areas of the law: Governance, IT licensing and sales, antitrust, employment law, health law (HIPAA, Stark Laws, anti-kickback statutes and the FCA), and privacy is preferred. Experience working on matters of corporate governance is needed. Experience with cost effective management of both internal and outside legal resources is must.
