Corporate Counsel - Environmental Law Group The candidate will provide timely, business sensitive legal advice on environmental, health and safety matters including transactional matters (including acquisitions, divestitures, and other commercial contracts including supplier agreements), regulatory and compliance matters, enforcement defense, and legal support to Global EHS programs (including audit and other substantive EHS matters). Support the company on Environmental Sustainability and climate change matters and may provide support on historic environmental liabilities (e.g. CERCLA). Draft, review and negotiate EH&S provisions in various agreements, including the purchase and sale of businesses, real property, contract manufacturing and procurement of drugs and active pharmaceutical ingredients. Participate in merger, acquisition, divestiture, and business development due diligence. Provide legal advice and analysis on a wide range of environment, health and safety regulatory and permitting matters, such as air, water, waste, hazardous materials, chemicals management (e.g. REACH), hazard communication, OSHA, and environmental remediation matters. Assist in the development, implementation, and monitoring of company environment, health, safety and Environmental Sustainability programs and policies. Provide legal support for EHS audits of operating facilities. Represent the company and oversee outside counsel in enforcement and administrative proceedings. Provide legal support for the defense of environmental, health and safety claims. Provide legal support for environmental cleanup sites and remediation efforts. Review and provide advice and comments, as may be required, on pending legislation and rule making activities by U.S. and non-U.S. governmental agencies. J.D. from an ABA-accredited law school and 6+ years of recent environmental, health & safety legal practice in a law firm, corporate legal department, or with the government required. Knowledge: of major U.S. environmental and employee health and safety statutes (including CAA, RCRA, CWA, CERCLA, OSHA); of environmental and employee health and safety laws in EU, China, India or other international jurisdictions a plus. Transactional and regulatory counseling experience required. Excellent drafting and negotiating skills required. Experience: in defending against enforcement by government agencies required; in third-party supply chain matters a plus; on product sustainability matters and climate change a plus.
