Corporate Counsel, Investments & Asset Management The candidate will collaborate closely with attorneys and business teams to assist in supporting a variety of investment transactions and asset management activities. Should have knowledge in the asset advisory/fund investments space and securities law issues. Should have familiarity with insurance linked securities and (re)insurance issues is a strong plus. Must demonstrate seasoned judgment, a strong work ethic and the ability/appetite to punch above their weight. Will collaborate with 's business leaders, operations, finance, tax and legal/compliance colleagues to support s investment platforms, investment advisory activities and commercial partnerships. Will negotiate, draft and review a variety of transactional agreements, disclosure documents, advertising/marketing materials, non-disclosure agreements, subscription agreements, investment management agreements and trading documentation (including ISDA, futures, securities lending and brokerage agreements). Will assist with investments compliance issues/policies and reviewing, preparing and filing SEC Forms and preparing corporate governance materials. Will dupport senior lawyers and outside counsel on complex and fast paced transactional matters. Will report to the General Counsel. The candidate should have a law degree from a top-tier law school with high academic achievement. Member of the New York Bar. Should have a demonstrated track record as a transactional lawyer with at least 1-2 years of experience with a top law firm; Experience in a variety of investment and/or capital markets transactions, including (re)insurance or insurance linked securities transactions, and Derivatives (a plus). Should be knowledgeable in U.S. Securities Act of 1933; U.S. Securities Exchange Act of 1934; U.S. Investment Advisers Act of 1940. should have ability to work independently and as part of an interdisciplinary team, with a passion for results. Work tenaciously to achieve results, sets high standards for self and others, and acts with a sense of urgency. Should have excellent verbal and written communication, collaboration, negotiation, and presentation skills.
