Corporate Counsel Compliance The candidate will prepare and file SEC filings, including periodic and current reports, proxy statements, Section 16 reports and confidential treatment requests in collaboration with internal and external accounting and legal teams. Handle corporate governance, ethics and compliance matters, including overseeing various corporate policies, preparing the materials for board and committee meetings, and managing the board minute books. Provide legal advice in connection with disclosure matters, including investor presentations, press releases, and other corporate internal and external communications. Coordinate stock option and equity programs in conjunction with internal resources. Keep up-to-date of industry and public company related laws and regulations to help identify changes and incorporate into or help create policies and procedures based on such development. Provide support in a wide array of practice areas and special projects as needed. The candidate should have J.D. from an accredited law school and admitted to practice in Massachusetts or other U.S. state. Should have 5 years of major law firm legal experience. Excellent academic and law firm credentials required. Must be skilled at providing practical legal and business advice regarding a wide variety of issues. Track record of working as a team player within a legal group to support departmental and company success is needed. Must have strong substantive knowledge of US public company laws and regulations. Should have significant experience handling SEC reporting obligations, including periodic reports and proxy statements. Must have substantial corporate law experience. Demonstrated Interest in board and corporate governance matters is needed. Should have strong research/drafting abilities and written/verbal communication skills. Must have ability to quickly and effectively prioritize, review and negotiate agreements in the context of business circumstances, and to provide advice that recognizes and integrates legal risk, business objectives and leverage. Should have ability to interact and communicate effectively with individuals from multiple departments and disciplines at all levels of the organization in a dynamic environment.
