Legal Counsel, Corporate Secretarial The candidate will advise on compliance with corporate and securities laws and regulations, corporate governance, New York Stock Exchange listing requirements, corporate policies and contractual obligations. Attend and prepare briefing materials for subsidiary and joint venture board and management committee meetings. Assist in preparation of public company board materials. Maintain corporate formalities of U.S. entities and prepare organizational documents and corporate actions. Support other practice areas within the legal department and the corporation, including finance, investor relations, treasury, mergers and acquisitions, human resources and benefits, regulatory, litigation, tax, business development and internal audit. Drafting disclosure for and preparing SEC filings. Other tasks as required. The candidate should have undergraduate degree and JD degree from recognized institutions. Must be a member of a U.S. state Bar in good standing. 8+ years or more of relevant experience practicing law at an in-house legal department and/or a top-tier law firm in the corporate and securities practice. Background in oil/gas or energy infrastructure preferred. Experience in corporate secretarial responsibilities, including taking minutes, drafting board resolutions and preparing corporate documents. Experience in corporate governance, finance, mergers and acquisitions and securities preferred. Experience working with and advising senior corporate leaders a must. Strong analytical and project management skills and the ability to juggle needs of multiple stakeholders. Excellent writing and communication skills essential. Ability to identify, prioritize and resolve issues quickly and effectively. Closing date: 12/11/2017.
