Senior Director, Transactional & Corporate Counsel Principal Responsibilities: Provide clear, actionable and business-savvy legal advice to clients within Business Development, Research and Development, Treasury and other functional areas through all phases of drug research, development and commercialization. Counsel clients on the legal implications of strategic transaction initiatives, particularly licensing and collaboration agreements and strategic alliances. Draft, negotiate and advise clients on complex life sciences agreements. Conduct legal and corporate due diligence on strategic transactions and act as a representative of the Legal function to transaction teams, including close collaboration with Intellectual Property attorneys. Responsible for transactional governance, including legal advice and support to Licensing Committee and Opportunity Review Committee. Responsible for legal support of alliance management function and support, including contract interpretation, oversight, and dispute resolution. Draft, negotiate, and advise clients on a broad range of contractual matters to support Alexion's global business, including research and university agreements, consulting agreements, confidentiality and nondisclosure agreements, technology transfer agreements, manufacturing agreements, etc. Interact closely with clients and vendors to understand business requirements and ensure that contractual terms are consistent with management priorities and company's legal and business policies and procedures. Educate clients regarding relevant legal updates, best practices, and risk mitigation. Collaborate with clients at all levels, across multiple functions and geographies, and at a high level of responsiveness and customer service.

The candidate should have J.D. degree from a highly respected law school. Should have 8+ years of experience with a life sciences company, preferably a multinational company, and/or a reputable, highly rated law firm, or a combination of both. Substantial portion of experience dedicated to advising on strategic transactions, particularly licensing and collaboration agreements. Demonstrated ability to negotiate strategic transaction agreements. Demonstrated ability to independently identify, analyze and render legal advice on complex business issues and general corporate matters. Clear potential to establish professional credibility with executive level clients by delivering clear, concise and accurate advice, including the appropriate level of detail and anticipation of follow-up questions.
